               The Limited beneficially owns 43 million shares of Class A
               Common Stock of the Company.  On October 1, 1996, the Company
               acquired the assets and liabilities of the business known as
               Abercrombie & Fitch Co. in exchange for 43 million shares of
               Class B Common Stock issued to The Limited, which Class B
               Common Stock is convertible into Class A Common Stock.
